歡迎使用由伴伴辦學科技股份有限公司（英文名 EduBaania，以下簡稱「我們」）提供的產品與服務，包括但不限於 AIMii AI 課堂、AIMii Speak、AIMii Words、官方網站（edubaania.com 及其子網域），以及我們在各平台上架的「AIMii」應用程式（合稱「本服務」）。本服務條款（以下簡稱「本條款」）為您與我們之間具法律約束力的協議。
當您註冊、登入或使用本服務，即表示您已閱讀、瞭解並同意本條款及我們的隱私權政策。若您不同意，請勿使用本服務。
Welcome to the products and services provided by EduBaania Technology Co., Ltd. ("we", "us", "our"), including but not limited to AIMii AI Classroom, AIMii Speak, AIMii Words, our website (edubaania.com and its subdomains), and the "AIMii" applications we publish on various platforms (the "Service"). These Terms of Service ("Terms") form a legally binding agreement between you and us. By registering for, signing in to, or using the Service, you confirm that you have read, understood and agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Service.
2. 帳號與資格 Accounts & eligibility
您須提供正確、完整的註冊資訊，並負責維護帳號與密碼的安全。透過您帳號所進行的一切活動，由您負責。如發現帳號遭未經授權使用，請立即通知我們。
本服務為教育產品，可能由未成年人使用。未成年人應於家長或監護人同意並監督下使用本服務；由補習班或學校為學生建立帳號者，應確保已取得必要之同意。家長、監護人或機構就其所管理之帳號的使用行為負責。
You must provide accurate and complete registration information and are responsible for safeguarding your account and password. You are responsible for all activity under your account; notify us immediately of any unauthorized use. The Service is an educational product and may be used by minors. Minors should use the Service with the consent and supervision of a parent or guardian; where a cram school or school creates accounts for students, it must ensure the necessary consents have been obtained. Parents, guardians or institutions are responsible for the use of accounts they manage.
3. 使用規範 Acceptable use
使用本服務時，您同意不從事下列行為：
- 違反任何適用法令，或侵害他人之權利（包括智慧財產權與隱私權）。
- 上傳或散布非法、騷擾、惡意、誹謗、猥褻或有害的內容。
- 對本服務進行還原工程、反編譯、未經授權之存取、干擾或破壞。
- 使用自動化程式大量擷取資料，或以非正常方式增加系統負載。
- 未經授權轉售、出租或將帳號提供他人使用。
- 冒用他人身分或提供不實資訊。
我們得對違反本條款之行為，暫停或終止相關帳號之使用。
When using the Service, you agree not to: violate any applicable law or infringe others' rights (including intellectual property and privacy); upload or distribute unlawful, harassing, malicious, defamatory, obscene or harmful content; reverse engineer, decompile, gain unauthorized access to, interfere with or disrupt the Service; use automated means to scrape data in bulk or abnormally increase system load; resell, rent or share account access without authorization; or impersonate others or provide false information. We may suspend or terminate accounts that violate these Terms.
4. 訂閱、付款與退款 Subscription, payment & refunds
本服務部分功能採付費訂閱制。付款金額、計費週期與方案內容將於購買時清楚揭示。除另有說明外，訂閱可能會於每期結束時自動續訂；您可於下一個計費週期前取消，取消後將於當期結束時生效，您仍可使用至當期屆滿。
透過第三方應用程式商店（如 Microsoft Store、Apple App Store、Google Play）或金流業者購買者，其付款、續訂與退款適用該平台之相關政策。其餘退款需求，請來信與我們聯繫，我們將依適用法令個案處理。
Certain features of the Service are offered on a paid subscription basis. Prices, billing cycles and plan contents are disclosed at the time of purchase. Unless otherwise stated, subscriptions may renew automatically at the end of each period; you may cancel before the next billing cycle, and cancellation takes effect at the end of the current period, with access continuing until then. For purchases made through third-party app stores (e.g. Microsoft Store, Apple App Store, Google Play) or payment processors, payment, renewal and refunds are governed by that platform's policies. For other refund requests, please contact us and we will handle them on a case-by-case basis in accordance with applicable law.
5. 智慧財產權 Intellectual property
本服務及其內容（包括軟體、教材、文字、圖像、影音、商標與標誌）之智慧財產權，均屬我們或我們的授權人所有，受法律保護。在您遵守本條款的前提下，我們授予您有限、非專屬、不可轉讓、可撤回之授權，僅得為個人或內部教學目的使用本服務。
未經我們事前書面同意，您不得重製、散布、改作、公開傳輸或為商業利用本服務之任何內容。
All intellectual property rights in the Service and its content (including software, learning materials, text, images, audio/video, trademarks and logos) belong to us or our licensors and are protected by law. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal or internal teaching purposes only. You may not reproduce, distribute, adapt, publicly transmit or commercially exploit any content of the Service without our prior written consent.
6. 使用者內容與授權 User content
您在使用本服務時可能提供內容（例如錄音、作答、上傳檔案，合稱「使用者內容」）。您保有使用者內容之權利，並就其合法性負責。為提供與改善本服務（例如進行發音評估、回饋與個人化學習），您授予我們於必要範圍內儲存、處理與使用該等內容之授權。我們對個人資料之處理，另依隱私權政策辦理。
You may provide content when using the Service (e.g. recordings, answers, uploaded files; "User Content"). You retain your rights in your User Content and are responsible for its legality. To provide and improve the Service (e.g. pronunciation assessment, feedback and personalized learning), you grant us a license to store, process and use such content to the extent necessary. Our handling of personal data is further governed by our Privacy Policy.
7. AI 功能 AI features
本服務包含人工智慧（AI）功能，例如 AI 學伴、AI 老師、發音評估與內容生成。AI 產生之回應、評量或內容可能不完全正確或完整，僅供學習參考之用，不構成專業建議。請對重要資訊自行查證。我們將持續改善 AI 功能，但不保證其結果之準確性。
The Service includes artificial intelligence (AI) features such as AI study companions, AI teachers, pronunciation assessment and content generation. AI-generated responses, assessments or content may not be entirely accurate or complete and are provided for learning reference only; they do not constitute professional advice. Please verify important information independently. We continually improve our AI features but do not warrant the accuracy of their outputs.
8. 第三方平台與服務 Third-party platforms
當您透過第三方平台（如 Microsoft Store、Apple App Store、Google Play、LINE）下載或使用本服務時，亦須遵守各該平台之條款與規範。本服務可能整合第三方服務（如第三方登入、金流、雲端與 AI 服務），該等服務由各供應商依其條款提供，我們不就第三方服務之行為負責。
When you download or use the Service through a third-party platform (e.g. Microsoft Store, Apple App Store, Google Play, LINE), you must also comply with that platform's terms. The Service may integrate third-party services (such as third-party sign-in, payments, cloud and AI services), which are provided by their respective providers under their own terms; we are not responsible for the conduct of third-party services.
9. 服務變更與可用性 Changes & availability
我們得不時新增、修改、暫停或終止本服務之全部或部分功能，並盡合理努力事先通知重大變更。我們不保證本服務不會中斷或無錯誤；因維護、升級或不可抗力等因素，本服務可能暫時無法使用。
We may from time to time add, modify, suspend or discontinue all or part of the Service, and will make reasonable efforts to give advance notice of material changes. We do not guarantee that the Service will be uninterrupted or error-free; it may be temporarily unavailable due to maintenance, upgrades, force majeure or similar factors.

You understand that you use the Service at your own risk.
11. 責任限制 Limitation of liability
在適用法律允許之最大範圍內，對於因使用或無法使用本服務所生之間接、附帶、衍生或懲罰性損害，我們不負賠償責任。前述限制不影響法律強制規定（如消費者保護相關法令）所賦予您之權利。
To the maximum extent permitted by law, we are not liable for any indirect, incidental, consequential or punitive damages arising from your use of or inability to use the Service. The foregoing limitation does not affect rights granted to you under mandatory provisions of law (such as consumer protection laws).
12. 帳號終止 Termination
您可隨時停止使用本服務或要求刪除帳號。若您違反本條款，或有法律或安全上之必要，我們得暫停或終止您的帳號。帳號終止後，本條款中依其性質應繼續有效之條款（如智慧財產權、免責聲明、責任限制、準據法）仍持續適用。
You may stop using the Service or request account deletion at any time. We may suspend or terminate your account if you violate these Terms or where legally or operationally necessary. Upon termination, provisions of these Terms that by their nature should survive (such as intellectual property, disclaimers, limitation of liability and governing law) will continue to apply.
13. 條款修改 Changes to these Terms
我們可能不時修改本條款。修改後將公告於本頁面並更新上方日期；重大變更時，我們會以適當方式另行通知。於變更生效後您繼續使用本服務，即視為同意修改後之條款。

14. 準據法與管轄 Governing law & jurisdiction
本條款之解釋與適用，以中華民國（台灣）法律為準據法。因本服務或本條款所生之爭議，雙方同意以臺灣臺北地方法院為第一審管轄法院，但不影響消費者依法律強制規定所享有之權利。
These Terms are governed by and construed in accordance with the laws of the Republic of China (Taiwan). For disputes arising from the Service or these Terms, the parties agree that the Taipei District Court of Taiwan shall be the court of first instance, without prejudice to any rights you may have under mandatory provisions of consumer protection law.
